By accessing and using AiVerify ("the Service"), provided by EdvanceIQ Limited ("we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, you must not use the Service.

These terms constitute a legally binding agreement between you and EdvanceIQ Limited, a company registered in England and Wales.

AiVerify is an AI-powered audit tool designed to analyse apprenticeship documentation and provide compliance assessments against UK regulatory requirements. The Service uses artificial intelligence and machine learning to:

• Extract information from uploaded PDF documents
• Analyse compliance with apprenticeship standards
• Generate audit reports with findings and recommendations
• Track audit history and compliance trends

When using AiVerify, you are responsible for:

• Verification: Independently verifying all AI-generated audit findings before relying on them
• Professional Judgement: Exercising your own professional expertise in reviewing results
• Accuracy of Inputs: Ensuring all uploaded documents are accurate and complete
• Compliance: Meeting all UK regulatory requirements for apprenticeship audits
• Data Security: Safeguarding your account credentials and access
• Appropriate Use: Using the Service only for legitimate audit purposes

5. Data Processing and UK GDPR Compliance

We comply with UK GDPR and the Data Protection Act 2018. While our primary infrastructure is UK-based, some services (such as AI processing and payment handling) may involve data transfers to providers with appropriate safeguards including Standard Contractual Clauses (SCCs) and adequacy decisions.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

• Subscriptions are billed monthly or annually in advance
• Prices are in GBP (£) and exclude VAT where applicable
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
• No refunds for partial months or unused credits
• We reserve the right to modify pricing with 30 days' notice

You must NOT:

• Use the Service for any illegal or unauthorised purpose
• Upload malicious code, viruses, or harmful content
• Attempt to bypass security measures or access controls
• Share your account credentials with others
• Reverse engineer or attempt to extract source code
• Use the Service to process personal data unlawfully
• Overload or attempt to disrupt the Service

9. Intellectual Property Rights

The Service, including all software, designs, text, graphics, and content (excluding your uploaded documents), is owned by EdvanceIQ Limited and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.

You retain ownership of your uploaded documents and data. By uploading content, you grant us a licence to process it solely for providing the Service to you.

10. Termination

We may suspend or terminate your access to the Service immediately if you breach these Terms, engage in fraudulent activity, or for any reason at our discretion with notice. Upon termination:

• Your right to use the Service ceases immediately
• You remain liable for any outstanding payments
• We may delete your data in accordance with our data retention policy

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
